DEI Helpline Confidentiality Agreement

Effective date: January 8, 2022

Upon receiving a DEI Helpline report and/or inquiry, The Wellspring Group and its DEI Helpline Providers (“The Company”) and the person submitting the aforementioned DEI Helpline report and/or inquiry (“The Employee”) agree to the following terms.

The Company agrees to provide coaching services related to its subject matter expertise in designing workplaces that support diversity, equity, and inclusion outcomes. These services will be provided within 24 hours of the Employee submitting information and/or requesting an appointment with our DEI Helpline Providers. 

The provision of coaching services may require the Employee to disclose confidential and proprietary information ("Confidential Information") to the Company. Confidential Information is information and data of any kind concerning any matters affecting or relating to the Employee, personal information about the Employee, the business or operations of the Employee, and/or the products, drawings, creative works, plans, processes, or other data of the Employee not generally known or available outside of the company.

Accordingly, to protect the Confidential Information that will be disclosed during the course of the Employee’s interactions with the Company, both the Employee and the Company agree as follows:

  1. The Company will hold the Confidential Information received from the Employee in strict confidence and will exercise a reasonable degree of care to prevent disclosure to others.
  2. The Company will not disclose or divulge either directly or indirectly the Confidential Information to others unless first authorized to do so in writing by the Employee.
  3. The Company will not reproduce the Confidential Information nor use this information commercially or for any purpose other than the performance of his/her duties for the Employee.
  4. The Company will, upon request or upon the termination of his/her relationship with the Employee, deliver to the Employee any drawings, notes, documents, equipment, and materials received from the Employee or originating from submissions made by the Employee.
  5. The Employee will have the sole right to determine the treatment of all information shared through phone calls, video conference, handwritten writings, email messages, texts, ideas, and discoveries that they provide the Company during the period of service provided by the Company’s DEI Helpline Provider, including the right to use and disclose the same or to follow any other procedure as the Employee may deem appropriate.
  6. This agreement will be interpreted under and governed by the laws of the Commonwealth of Massachusetts and the United States of America.
  7. All provisions of this agreement will be applicable only to the extent that they do not violate any applicable law and are intended to be limited to the extent necessary so that they will not render this agreement invalid, illegal or unenforceable. If any provision of this agreement or any application thereof will be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of other provisions of this agreement or of any other application of such provision will in no way be affected thereby.
  8. The Company will take all reasonable measures to ensure that no retaliation or disciplinary action shall be taken against the Employee solely for exercising rights under the terms of this agreement or under the laws and regulations established by any governmental agency regarding health and safety in the workplace and occupational hazards.

  9. To the maximum extent permitted by applicable law, in no event shall the Company or its DEI Helpline Providers be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the Employee’s use of or inability to use the DEI Helpline or the provision of coaching services related to the Helpline, even if The Wellspring Group has been advised of the possibility of such damages.

  10.  The Employee represents and warrants that he or she is not under any pre-existing obligations inconsistent with the provisions of this agreement.

The submission of information to the Company via the use of the DEI Helpline web form signifies that the Employee and Company agree to the terms and conditions of the agreement stated above.
